Article I Scope of services

Article II Copyrights & License

All of our REPORTS & SERVICES are submitted to you under a license - according to this license, you can distribute any copies in any forms at any time to any body within your organization - incl. its worldwide branches, but not those with your minor share participation - during the validity date of the license. Normally the license from SBI lasts for two years. Extension and termination of the license shall be discussed two months before the expiration date.

Distribution to third parties is allowed only when the copies are for demonstration, not for sales or other commercial purpose. Resales of the REPORTS & SERVICES is strictly forbidden and is subject to agreement with SBI.

Our REPORT & SERVICES will be under copyright protection - with a "Licence Agreement" between both sides.

Article III Maintenance, Update & Upgrading

Free, three (3) month maintenance (after the handover of the REPORTS) and updating is provided to you as part of the prices and services. However, the maintenance, updating and upgrading include only the corrections to any part of the REPORTS and if any corrections are made, new REPORTS will be issued to you indicating where corrections are made.

Addition and/or amendment to the REPORTS is subject to bilateral agreement on cost and terms.

Up-to-date information will be provided to you only at surcharge.

Subsequent researches and reporting on the same issues within the same scope will be provided to you at a price of 25-30 % of the first REPORT on a year to year basis.

Article IV Prices

1) contents of the reports/info/market research services;

2) your business types - either as end user or as reseller, and finally

3) scope of distribution - which is again dependent on the size of your organization(s).

Article V Payment

Payment shall be made in two stages:

1) first payment of 60 % of total contract value shall be paid three days after the contract is signed;

2) the other 40 % shall be paid after the REPORTS are received and confirmed as acceptable by YOU;

3) payment shall be done via T/T.

Article VI Format of Reports

5.1 REPORTS will be sent to YOU in electronic form - by email, or by downloading from SBI website if the file is too big to send with email;

5.2 a hardcopy can also be forwarded to YOU upon request but only with surcharge;

5.3 REPPORTS will be prepared in PDF format with accompanying pictures and charts;

5.4 other formats can also be prepared at a surcharge.

Article VII Time Schedule

Time needed for preparing the REPORTS & SERVICES is about 1-1.5 months, from receiving the first payment from YOU.

Time needed include traveling, on-spot interviews, data collection, translation, editing and finally publishing in appropriate forms.

Article VIII Language

7.1 language of the REPORTS - English

7.2 language for communications between you and SBI during the contract period:

officially use English as communication languages - occasionally use your language if we are aquatinted with it.

Article IX Communications

8.1 Always use email, instant messaging, online chatting (incl. audio/video chatting), FTP and website board to exchange voice, messages, documents and pictures.

8.2 avoid requesting for hard copy materials or sending hard copy materials;

8.3 use telephone/fax only under urgent circumstances.

Article X Effectiveness

At time the REPORTS are served, it is deemed to be effective. However, SBI is not responsible for invalidity of information after a reasonable period of time considered as normal in the industries and in China - normally one year. YOU are responsible for following up the latest development and relevant organizations involved in the business.

Article XI Validity

This contract is valid for a period of two years, effective from the signing of both sides. Electronic signature is deemed as equally effective as paper signature.

Article XII Extension and Termination

Two months before the expiration date, both sides shall discuss about the extension or termination of the contract/license. Any results shall be presented in formal form with signatures of both sides.

Article XIII Disclaimer

SBI is not liable for any loss or damage of interest, investment or cooperation with other business partners when using its REPORTS, services and information

Article XIV Disputes

In case of disputes, both sides shall first try to solve with negotiations and mutual concession. If matters must be settled down in court, then these courts must be stationed in China.

9:00 - 18:00 Beijing/Shanghai/Hongkong time.

REPORTS - results of our studies owed to you as part of our cooperation, it takes as an electronic form of reporting for the purpose of general reporting of China power industry in a year, a month, or for specific projects of the power industry or for a targeted market research.

SERVICES - the overall conception of what we are going to provide you with information on China power industry, incl. REPORTS.
